These terms and conditions (the “Agreement”) govern the sale and use of the HAIL software (the “Software”) provided by Rain Technology Solutions, Inc. (“HAIL,” “we,” “us,” or “our”). By purchasing, downloading, installing, or using the Software, you (“Licensee” or “you”) agree to be bound by this Agreement. If you do not agree to these terms, do not purchase, download, install, or use the Software.
Subject to your compliance with the terms of this Agreement, HAIL grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on a single device or, if applicable, as permitted by the type of license purchased. This license is solely for your internal business purposes and does not include the right to distribute the Software to third parties.

The Software is licensed, not sold. HAIL retains all rights, title, and interest, including all intellectual property rights, in and to the Software and any copies thereof. Your rights to use the Software are limited to those expressly granted by this Agreement. All rights not expressly granted are reserved by HAIL.
All fees and charges are payable in advance and are non-refundable. Payment terms and conditions are specified at the time of purchase and must be adhered to. If any payment is not made when due, HAIL may terminate this Agreement and your license to use the Software.
This Agreement is effective until terminated. HAIL may terminate this Agreement immediately and without notice if you fail to comply with any term or condition of this Agreement. Upon termination, you must immediately cease all use of the Software and destroy all copies of the Software and documentation in your possession or control. Sections 3, 4, 8, 9, and 10 will survive termination of this Agreement.
HAIL may, from time to time, provide updates, upgrades, or enhancements to the Software, which may include patches, bug fixes, or new features (collectively, “Updates”). Updates will be subject to the terms of this Agreement unless accompanied by a separate license agreement. HAIL is under no obligation to provide any support, maintenance, or Updates.
The Software is provided “as is” and “as available,” without warranty of any kind. HAIL expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation, any warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. HAIL does not warrant that the Software will meet your requirements, be uninterrupted, or error-free.
In no event will HAIL, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to this Agreement or the use or inability to use the Software, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if HAIL has been advised of the possibility of such damages. HAIL’s total, cumulative liability arising out of or related to this Agreement will not exceed the amount paid by you for the Software.
This Agreement will be governed by and construed in accordance with the laws of North Carolina, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in North Carolina, USA, and the parties hereby consent to personal jurisdiction and venue therein.
HAIL reserves the right to amend or modify this Agreement at any time in its sole discretion. Any changes will be effective upon posting the revised Agreement on HAIL’s website or providing other notice to you. Your continued use of the Software after such changes are posted or provided constitutes your acceptance of the amended Agreement.
The goTenna name and “NN” icon are trademarks of goTenna, Inc., used with permission under license by goTenna. The EVERYWHERE name and “Globe” icon are trademarks of EVERYWHERE Communications, Inc., used with permission under license by EVERYWHERE. No rights to these trademarks are granted, and no further use by the end-user or other 3rd party is permitted.
